I couldn't find a definitive answer but I think just cosmetics - different
pattern on focus ring etc. Interesting that the original cosmetics were
similar to the original PEN while the II cosmetics are closer to OM.
However considering how Olympus made minor changes to OM lenses without
changing designations, there are probably some minor differences.

The big difference was going from the 14-42 to the 14-42 II which is MSC.
